I have 0 cash and a propect. I trade the prospect for a  career minor leaguer and 5m . I now have  5m and no prospect.

 I have 0 cash and a prospect. I trade the prospect and a washed up minor leage calibre player witha 5m contract for a career minor leaguer. I now have no prospect and 5m.
 Same deal.

And I would allow both of those deals, providing I feel the prospect is worthy of 5million...I have no issue with this...My issue was that I dont feel Shaw is worth 327k yet alone 5mil.

But to me 5mil is a lot, so it better be a player that I feel will have a decent career. Not a stud but someone that will atleast get arbitrated a few times.

It's just an example of cash for a player vs contract purchase for a player.  The cash crowd says there is a difference, and using cash is an unfair advantage. shaw  is just an example.

No. You don't make the 2nd deal. You have no cash.

So, you would need the other guy to give you $5M cash, or if that gets vetoed, you would need to transfer $10M from coaching or prospect.

Why would i need 5m to sell a 5m contract. The other needs the 5m.

And 5m at the end of either deal is still worth 5m. no more no less. no advantage.

Example - Other team's budget, bwb's dumbass example

Trade without cash
Pre; 100M payroll assigned, 105M pay roll cap, 80M assigned to other budget.
Post; 105M payroll assigned, 105M payroll cap, 80M assigned other budget.

Trade with cash
Pre; 100M payroll assigned, 105M payroll cap, 80M assigned to other budget
Post, 105M payroll assigned, 110M payroll cap, 80M assigned to other budget.

No, no difference whatsoever. He just has another $5M to make another trade, or to transfer to prospect and scoop up the IFA you we hoping to get, or sign the FA you thought you had until last cycle.
