Our rule 5 roster freeze is tonight. I have had a trade accepted, which will not go through prior to the freeze, which opens up a spot on my 40 man. I also just had a FA sign. I need that spot on the 40 man for the FA. If I don't assign the FA to the ML team before the roster freeze, is it possible I will lose him in the rule 5 draft?

No, you will not lose the FA. He shouldn't be listed in the draft prospects.
